Terms of Service

1. The Service

Clymb Local is a local SEO platform that provides Google Business Profile (GBP) audits and 90-day action plans, GBP optimization, GBP post scheduling, GBP review responses, local and website rank tracking, and monthly progress reports for local businesses. Clymb Local does not build or host client websites.

2. Accounts

You must provide accurate, current information when registering and keep it up to date. You're responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Connecting Google and Third-Party Accounts

To use certain features, you'll authorize Clymb Local to access your Google Business Profile, Google Search Console, and/or Google Analytics accounts via OAuth. By connecting an account, you represent that you are the owner or an authorized manager of that account and business listing, and you grant us permission to access and act on the data covered by the scopes you approve (for example, publishing posts, replying to reviews, or reading performance metrics) for as long as the connection remains active. You may revoke this access at any time through your Google Account permissions or your Clymb Local account settings.

4. Subscriptions & Billing

• Paid plans are billed monthly or annually in advance through Stripe, our payment processor.
• Prices and plan tiers are as shown at checkout and may change with notice; changes apply to future billing cycles.
• Free trials, where offered, convert to a paid subscription automatically at the end of the trial unless canceled before it ends.
• You can cancel anytime; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.
• You're responsible for all applicable taxes.

5. Acceptable Use

You agree not to:

• Use the Service to post false, misleading, or fraudulent content on any Google Business Profile or other connected platform
• Use the Service to manipulate rankings through practices that violate Google's Business Profile guidelines or webmaster guidelines, including fake reviews or keyword-stuffed business names
• Attempt to access accounts, data, or systems you're not authorized to access
• Reverse-engineer, scrape, or resell the Service without our written consent
• Use the Service in a way that violates applicable law

We may suspend or terminate accounts that violate this section.

6. Client & Third-Party Data

If you use Clymb Local to manage local SEO for clients, you are responsible for having the appropriate authorization from those clients to connect and manage their Google Business Profile, Search Console, and Analytics accounts. You are responsible for your relationship with your clients, including any commitments you make to them about results, timelines, or pricing.

7. No Guaranteed Results

Local search rankings are determined by algorithms outside our control and can be affected by factors we do not control, including competitor activity and changes to Google's algorithms and policies. Clymb Local provides audits, recommendations, and optimization work in good faith, but we do not guarantee specific rankings, traffic, lead volume, or revenue outcomes.

8. Intellectual Property

Clymb Local retains all rights to the Service, including its software, reports, templates, and branding. You retain ownership of your business content and data. You grant us a limited license to use, store, and process your content solely to provide the Service.

9. Third-Party Services

The Service integrates with third-party platforms, including Google APIs, DataForSEO, and Stripe. Your use of those integrations is also subject to the respective third party's terms. We are not responsible for the availability, accuracy, or actions of third-party platforms, including changes to APIs or policies that affect Service functionality.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, Clymb Local and Golden Oak Marketing will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold Clymb Local harmless from claims, damages, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or as reasonably necessary to protect the Service or other users. You may cancel your account at any time as described in Section 4.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date, and continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the state in which Golden Oak Marketing is organized, without regard to conflict-of-law principles, unless applicable law requires otherwise.
